About This Course

Under Chair Gensler’s administration, the Securities and Exchange Commission (SEC) has recently adopted amendments to three executive compensation rules related to the recovery of erroneously awarded compensation (so-called “clawback”), executive trading under Rule 10b5-1 plans, and pay versus performance. Among other requirements, these rules create new disclosure requirements for public companies. Staying updated with the SEC’s executive compensation rules and other developments is crucial for compliance, transparency, and shareholder engagement.
