This course provides an in-depth understanding of intellectual property licensing in creative industries, with a focus on patents, trademarks, copyrights, and trade secrets. Students will learn about the different legal regimes that protect various subject matters, and how to identify the type of intellectual property they are dealing with when licensing or contracting. The course covers the duration and public domain of copyrights, grants of rights, ownership, name image and likeness, privacy, and work made for hire vs transfer. The course also explores common restrictions imposed by licenses on intellectual property, negotiations for artists, and pitfalls to avoid. In addition, the course will discuss ownership and copyright of exhibitions, including how museums and art galleries package art exhibitions and the works that are included in them, using examples from the music industry and other creative industries to illustrate these concepts.

In over two decades of contracting experience (one that has straddled the intersection of museums and new media from casual gaming to social media to cloud services), I have negotiated business revenue contracts, hybrid business-expense contracts, pioneered pro bono contracting at the Smithsonian, awarded 8(A) sole-source contracts, run simplified acquisitions, run a successful performance-based solicitation, spearheaded multiple Federal Open Quantity solicitations, and led many trust, donated, and federal procurements in a variety of ways. I am familiar with protest procedures, dispute resolution, and contract administration. I put together the solicitation and resultant deals for the US Holocaust Memorial Museum's and Smithsonian's respective pilot mobile engagement initiatives (multimedia museum guides via cell phone or handheld device). My goal is to help clients obtain best value while maximizing the museum's mission (whether on the outreach or infrastructure side, which is where the majority of my experience resides).
